Job Summary

The Corporate Counsel is a trusted advisor and counsel to the West enterprise. Will support, develop and implement comprehensive transactional assessments and negotiations for West. Provides professional legal counsel and administers the general legal affairs of the Company and its affiliates, along with global corporate entity management and governance issues. Provides legal advice to senior management while assessing and minimizing legal risks and liabilities for all Company operations. Analytical problem solver and advisor who works closely with all levels of company leadership to implement a broad range of business initiatives while minimizing operational risks.

Essential Duties and Responsibilities

  • Serve as the trusted advisor, thought leader and primary counsel to Finance team regarding all SEC disclosure requirements (33 and 34 Acts) and all external reporting, including the proxy and press releases  
  • Structure, negotiate and execute complex global transactions, including bank transactions, private equity investments, agreements with company’s key strategic partners and collaborators, major customer and supplier agreements and M&A transactions; assists senior management in developing strategies regarding same
  • Support overall contracting strategy, including template development with a focus on risk mitigation, consistency and jurisdictional alignment
  • Assist with policy simplification, consolidation and client education related to transactional activities
  • Corporate entity management and governance
  • Coordinate with outside counsel, where appropriate, and subject to budget considerations
  • Undertake special projects and duties as identified or assigned

Education

  • Law degree (JD) from an accredited law school in the United States

Work Experience

  • 10+ years of experience with a minimum 7 years’ experience addressing corporate transactions and SEC related matters with international law firm and/or as in-house corporate counsel

  • Willingness to travel globally, if needed

License and Certifications

  • Bar admittance or license to practice law in the United States

Travel Requirements

10%: Up to 26 business days per year

Physical Requirements

Sedentary-Exerting up to 10lbs/4kgs of force occasionally, and/or negligible amount of force frequently or constantly to lift, carry, push, pull, or otherwise move objects, including the human body. Sedentary work involves sitting most of the time.
